SNIPES ALL-STAR GAME WEEKEND SWEEPSTAKES RULES

Jako Enterprises, LLC dba Snipes USA (“Sponsor”) is pleased to offer the Snipes All-Star Game Weekend Sweepstakes Rules (“Sweepstakes”). In order to participate in the Sweepstakes, you must agree to these terms and conditions (“Rules”). PLEASE CAREFULLY READ THE RULES BEFORE PARTICIPATING IN THE CONTEST. THE RULES CONTAIN IMPORTANT PROVISIONS ABOUT THE CONTEST AND SPONSOR’S OBLIGATIONS WITH RESPECT TO THE CONTEST. YOU MAY NOT PARTICIPATE IN THE CONTEST UNLESS YOU AFFIRMATIVELY INDICATE YOUR ACCEPTANCE OF THESE TERMS AS REQUIRED BY SPONSOR.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THE CONTEST. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.

1.Sweepstakes Rules. a.. How to Enter. In order to enter the Sweepstakes, you must:

i. Follow @Snipes_USA on Instagram;

ii. Text the keyword “ALLSTAR ” to 764737 and answer the trivia question you receive from that number; and

iii. After answering the trivia question, comment on the official Sweepstakes post on @Snipes_USA Instagram with the star emoji indicating you have entered the Sweepstakes.

b. How the Sweepstakes Will Be Selected. Winner will be selected randomly from all eligible entries and notified via Instagram Direct Message within three (3) days of the Sweepstakes ending. Sponsor will confirm that the Winner wishes to accept the Prize (defined below) pursuant to the Prize acceptance terms. The Winner must respond to Sponsor within 48 hours of Sponsor’s notification to claim the Prize. If the Winner fails to respond to Sponsor within the 48 hour timeframe, proves to be ineligible under these Rules, or opts not to accept the Prize pursuant to the Prize acceptance terms, Sponsor will randomly select another Winner from the pool of entries until it finds a responsive, qualifying Winner who accepts the prize pursuant to the Prize acceptance terms.

2. Prizes. The Winner will, upon confirmation of eligibility, receive a round-trip flight, hotel stay, uber credits, and tickets to the All-Star Weekend Game and select events for themselves and one (1) additional guest (the “Prize”). The Prize is non-transferable and cannot be redeemed for cash or substituted with another prize.

3.Sponsor. Sponsor is located at 3329 Street Road, Bensalem, Pennsylvania, 19020.

4.Eligibility. The Sweepstakes is open to natural persons who at the time they enter are (a) 18 years of age or older, and (b) legal resident of the United States of America. Each eligible person who submits an entry into the Sweepstakes shall be referred to herein as an “Entrant.” Directors, officers, employees, contractors, and agents of Sponsor and its affiliates and members of their immediate families (spouses, parents, siblings, and children) are not eligible to enter or win. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Participation constitutes an Entrant’s full and unconditional agreement to the Rules. Sponsor’s decisions relating to the Sweepstakes are final and binding in all matters relating to the Sweepstakes.

5.Entry Period. You may submit your entry for this Sweepstakes from 12:00 a.m. Wednesday, January 29, 2025, through 11:59 p.m. Wednesday, February 5, 2025, (the “Sweepstakes Period”). Only entries received during the Sweepstakes Period will be accepted. Sponsor’s computer is the official time keeping device for the Sweepstakes. Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted, or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human, or electronic. Proof of submission will not be deemed to be proof of receipt by Sponsor. Sponsor reserves the right to cancel, postpone, delay or extend the Sweepstakes at any time in its sole discretion.

6.Limits on Entry. You may only enter the Sweepstakes one (1) time. Entrants who submit more than one entry are automatically disqualified from the Sweepstakes.

7.Grounds for Disqualification. Your entry may be disqualified if it (a) contains illegal, offensive, or otherwise inappropriate content, (b) was not created by the Entrant, (c) does not follow the Sweepstakes guidelines, or (d) contains personally identifiable information (except for the Entrant's personally identifiable information) or other sensitive or confidential content.

8.Prizes. Winning the Prize is contingent upon your fulfilling all the requirements in the Rules and agreeing to the Prize acceptance terms. This is a random drawing, and Sponsor makes no representations about your chances of winning. Failure to claim the Prize by the time or in the manner specified in that notification will invalidate any claim to the Prize. The Prize is not transferable. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PRIZE IS PROVIDED “AS IS” AND IS NOT EXCHANGEABLE FOR FAIR MARKET VALUE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPONSOR DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE PRIZE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. The Prize may not be substituted for cash. The value of the Prize awarded to a Winner will be reported for tax purposes as required by law. The Winner will be solely responsible for all applicable taxes, fees, and surcharges associated with receipt and/or use of the Prize. After the Winner has been notified and has complied with all of these Rules, Sponsor may announce the Winner on its website, social media accounts, or through other media, as it determines in its sole discretion.

Privacy Information submitted by you will be collected by Sponsor’s systems based in the United States and such collection will be subject to applicable United States laws. You may withdraw personal data by emailing [email protected]; however, you will be disqualified if personal data is withdrawn prior to the determination of the winner(s) and fulfillment of the prize(s). Your participation in this Sweepstakes constitutes consent for Sponsor to use your personal information solely for the purpose of administering the Sweepstakes and awarding the prizes.

9.Disputes. The Sweepstakes and these Rules are governed by the laws of the Commonwealth of Pennsylvania, without reference to any applicable choice of law provisions. All actions, proceedings, or litigation relating hereto will be instituted and prosecuted solely within Philadelphia County, Pennsylvania. By entering the Sweepstakes, Entrants consent to the jurisdiction of the courts of Pennsylvania and the federal courts located within Pennsylvania with respect to any action, dispute, or other matter pertaining to or arising out of the Sweepstakes. Entrants agree that (a) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred by them, including costs associated with entering this Sweepstakes, but in no event attorneys' fees, and (b) under no circumstances will Entrants be permitted to obtain awards for, and Entrants hereby waive all rights to claim, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

10.General Rules. Any failure by an Entrant to comply with any of these Rules may result in disqualification from the Sweepstakes. Sponsor has the sole and absolute discretion to disqualify any Entrant. Sponsor is not responsible for any typographical errors in these Rules or in any other communication surrounding the Sweepstakes or for any technical malfunction or error relating to the Sweepstakes. Sponsor reserves the right to amend or interpret the Rules at any time, upon published notice to participants on its website or within any relevant social media page. Entrants acknowledge that Sponsor’s selection of the Winner shall be to the Sponsor’s discretion. ENTRANTS AGREE TO RELEASE, INDEMNIFY, AND HOLD HARMLESS SPONSOR, INSTAGRAM, THE NATIONAL BASKETBALL ASSOCIATION (“NBA”), AND EACH OF THEIR RESPECTIVE PARENTS, PARTNERS, SUBSIDIARIES AND AFFILIATES, WHETHER DIRECT OR INDIRECT, OWNERS, MEMBERS, MANAGERS, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS (COLLECTIVELY “RELEASED PARTIES”), FROM ANY AND ALL LIABILITY, INCLUDING ANY INJURIES AND/OR DEATH, LOSSES, OR DAMAGES (COMPENSATORY, DIRECT, INCIDENTAL, CONSEQUENTIAL, OR OTHERWISE) TO ANY PERSON, ARISING OUT OF THEIR PARTICIPATION IN THE SWEEPSTAKES OR ANY SWEEPSTAKES-RELATED ACTIVITY, OR POSSESSION, MISUSE, OR USE OF THE PRIZE. Any attempt by an individual to undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws. In the event such an attempt occurs, Sponsor reserves the right to seek damages from such individual to the fullest extent permitted by law. IN NO EVENT SHALL THE RELEASED PARTIES HAVE ANY OBLIGATION OR LIABILITY WHATSOEVER IN RELATION TO THE SWEEPSTAKES OTHER THAN AS SET FORTH IN THESE RULES.

The Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with, any other entity, including Instagram, or the NBA. When you enter the Sweepstakes, you are submitting an entry to Sponsor and not to any other person or entity.
